These terms of use are entered into by and between you (“user” or “you”) and Mon Amour LLC (“Mon Amour, Company, we, or us”). The following terms and conditions (“Terms of Use”) govern your access to and use of our online services and Company software applications, including our www.papacitosdating.com website and our Papacitos mobile applications (the “Papacitos Platform”), whether as a guest or a registered user.

Please read these Terms of Use carefully before you use the Papacitos Platform. By using the Papacitos Platform or by clicking to accept or agree to these Terms of Use when that option is presented, you agree to be bound by these Terms of Use and by our Privacy Policy. If you do not agree to these Terms of Use or to the Privacy Policy, you must not access or use the Papacitos Platform.

The Papacitos Platform is offered and available only to users who are 18 years of age or older. By using the Papacitos Platform, you represent and warrant that you are of legal age to form a binding contract with the Company. If you do not meet these requirements, you must not access or use the Papacitos Platform.

Changes to the Terms of Use

We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Papacitos Platform thereafter.

Your continued use of the Papacitos Platform following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.

Description of Our Services

The Papacitos Platform provides individuals with access to a global online dating and community environment that connects men primarily from North America, Europe, and Australia with women from Latin America and South America. Through the platform, members can create profiles, browse other members, match based on preferences, and interact through chat, video calling, and community forums.

Papacitosdating.com is a subscription-based online dating platform designed to facilitate introductions and conversations between members. Users can only access the platform through the Papacitos mobile application. The website contains articles, information, and a link to download the app, where they can create profiles, upload photos, describe their interests, and connect with potential matches. The platform also includes automatic message translation to bridge language differences, as well as real- time communication tools for messaging and video calls.

All subscriptions are billed in advance, automatically renew unless canceled, and are managed through the user’s Apple App Store or Google Play Store account. The platform does not provide refunds and does not guarantee specific results, matches, or relationships. The Papacitos Community feature allows members to share travel tips, dating advice, and engage in group discussions, while maintaining policies that prohibit harassment, offensive content, and other inappropriate material. We are not responsible for the actions, conduct, or compatibility of any members, and interactions between members occur solely at their own risk.

Accessing the Papacitos Platform and Account Security

We reserve the right to withdraw or amend this Papacitos Platform, and any service or material we provide on the Papacitos Platform, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Papacitos Platform is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Papacitos Platform, or the entire Papacitos Platform, to users, including registered users.

 

To use the Papacitos Platform, users must create an account by entering their email and password or by logging in through an approved third-party service such as Facebook. This registration enables users to create a visible dating profile, browse and match with other members, communicate via messaging and video calls, and participate in community forums. Profiles display information such as name, age, location (if enabled), profile photo, preferences, and biography, helping members evaluate potential matches.

User Safety and Responsibilities

Photo Verification: All women registering on the Papacitos Platform are required to complete photo verification to ensure authenticity and enhance user trust and safety. Accounts that fail to complete the verification process may have limited access to platform features or may be suspended at Papacitos’ discretion. Any attempt to misrepresent your age, identity, or other required registration details may result in immediate account suspension or removal without notice.

 

Background Checks: Papacitos does not conduct criminal background checks, identity verifications, or screenings of its users and makes no representations regarding the character, intentions, or background of any member. Users are solely responsible for vetting their matches and exercising caution when engaging with others on or off the platform.

 

Scam and Fraud Warning: Papacitos strongly warns users to be vigilant against scams, fraudulent schemes, and other deceptive conduct. While we implement safety measures, we cannot guarantee the identity, intentions, or conduct of any user. Users should exercise judgment and take precautions when sharing information or engaging in financial transactions, as all interactions are at the user’s own risk.

 

In-Person Meeting Guidelines: If you choose to meet another user in person, Papacitos strongly
recommends:

  • Meeting only in public locations
  • Informing a friend or family member of your plans
  • Exercising caution at all times

Papacitos is not responsible for any incidents, disputes, harm, or damages resulting from off-
platform meetings or interactions.

 

Device Security: Users are solely responsible for maintaining the security of their own devices and Papacitos accounts. This includes keeping operating systems, browsers, and applications up to date, using strong and unique passwords, and protecting against unauthorized access.

 

No Solicitation or Commercial Use: No Solicitation or Commercial Use: Papacitos is intended for personal, non-commercial use only. Users are strictly prohibited from using their accounts to solicit other users, promote third-party products or services, conduct marketing campaigns, or engage in any activity intended for commercial gain without Papacitos’ prior written consent. Violations of this policy may result in immediate account suspension or termination at Papacitos’ discretion.

 

Content Moderation: Papacitos does not pre-screen all user-generated content, including profiles, messages, photos, and videos. While we strive to maintain a safe and respectful environment, we cannot guarantee that all content complies with our Terms of Use or community guidelines. However, Papacitos reviews reports of inappropriate, fraudulent, or abusive content within a reasonable timeframe and may remove, restrict, or limit access to any material that violates these Terms or our policies. Papacitos reserves the sole discretion to suspend or terminate accounts based on reported or detected violations.

Joining the Papacitos Platform

As part of the registration process, Papacitos requires all users to click “I agree” to accept these Terms of Use before accessing the platform. By doing so, users confirm their understanding and acceptance of the terms outlined in this agreement.


You are responsible for both:

  • Making all arrangements necessary for you to have access to the Papacitos Platform.
  • Ensuring that all persons who access the Papacitos Platform through your internet connection are aware of these Terms of Use and comply with them.

To access the Papacitos Platform or some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Papacitos Platform that all the information you provide on the Papacitos Platform is correct, current, and complete. You agree that all information you provide to register with this Papacitos Platform or otherwise, including, but not limited to, through the use of any interactive features on the Papacitos Platform, is governed by our Privacy Policy and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

 

Once a member matches or connects with another member, they can communicate through Papacitos’ built-in messaging system, initiate a video call, or interact within the community forums.

 

If you choose, or are provided with, a user name, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to this Papacitos Platform or portions of it using your user name, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your user name or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.

 

We have the right to disable any user name, password, or other identifier, whether chosen by you or provided by us, at any time if, in our opinion, you have violated any provision of these Terms of Use.

Intellectual Property Rights

The Papacitos Platform and its entire contents, features, and functionality (including but not limited to all information, tax forms, data input forms, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

 

These Terms of Use permit you to use the Papacitos Platform for your business or personal use in accordance with these terms. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Papacitos Platform, or use it in providing or facilitating services, interactions, or activities outside of the platform, except as follows:

  • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
  • You may store files that are automatically cached by your Web browser for display enhancement purposes.
  • If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-
    commercial use, provided you agree to be bound by our end user license agreement for such applications.
  • If we provide social media features with certain content, you may take such actions as are enabled by such features.

You must not:

  • Modify copies of any materials from this site.
  • Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text.
  • Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from this site

You must not access or use for any commercial purposes any part of the Papacitos Platform or any services or materials available through the Papacitos Platform.

 

If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Papacitos Platform in breach of the Terms of Use, your right to use the Papacitos Platform will stop immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to the Papacitos Platform or any content on the Papacitos Platform is transferred to you, and all rights not expressly granted are reserved by the Company. Any use of the Papacitos Platform not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark, and other laws.

 

You acknowledge that all content available on the Papacitos Platform, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, is the property of Papacitos or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, duplicate, copy, sell, resell, or exploit any portion of the Platform without express written permission from Papacitos.

Trademarks

The Company name, the brand “Papacitos ,” the Company logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. you must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans on this Papacitos Platform are the trademarks of their respective owners.

Prohibited Uses

You may use the Papacitos Platform only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Papacitos Platform:

 

  • To engage any fraudulent activity, misrepresentation, or deceptive business practices while using the platform’s services.
  • In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or
    software to and from the US or other countries).
  • To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation.
  • To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Papacitos Platform, or which, as determined by us, may harm the Company or users of the Papacitos Platform, or expose them to liability.

User Contributions

The Papacitos Platform may, either currently or in the future, contain various community and interactive features (collectively, “Interactive Services”) that allow users to create, share, and engage with content. These features include dating profiles, private messages, live video chats, message boards, chat rooms, forums, bulletin boards, reviews, comments, community discussions, and the ability to post and interact with blogs. Users can upload and showcase media such as photos, videos, and other profile content. Additionally, users have the ability to comment on posts, report other users, and choose whether their content is public or private.

 

Any User Contribution you post to the Papacitos Platform, including dating profile content, messages, photos, or videos, will be considered non-confidential and non-proprietary. By
providing any User Contribution on the Papacitos Platform, you grant us and our affiliates and service providers, and each of their and our licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose related to the operation and promotion of the Papacitos Platform. You acknowledge that some content, including written materials, images, and designs, may be protected by copyright, and by posting it, you affirm that you have the necessary rights to share it.

You represent and warrant that:

  • You own or control all rights in and to the User Contributions, including any photos, videos, messages, and profile content you upload, and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our licensees, successors, and assigns.
  • All of your User Contributions comply with these Terms of Use and with all applicable laws, including those related to privacy, image rights, and intellectual property.

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not the Company, have full responsibility for such content,
including its legality, reliability, accuracy, and appropriateness. Papacitos does not verify or endorse User Contributions and is not liable for the content, accuracy, or conduct of any user arising from User Contributions posted on the platform.

Monitoring and Enforcement; Termination

We have the right to:

  • Remove or refuse to post any User Contributions for any or no reason in our sole discretion.
  • Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution
    violates the Terms of Use, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Papacitos Platform or the
    public, or could create liability for the Company.
  • Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or
    their right to privacy. 
  • Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Papacitos Platform.
  • Terminate or suspend your access to all or part of the Papacitos Platform for any or no reason, including without limitation, any violation of these Terms of Use.

Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Papacitos Platform. YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES, LICENSEES, AND SERVICE
PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

 

However, we do not undertake to review material before it is posted on the Papacitos Platform, and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

Copyright Infringement

We respond to notices of alleged copyright infringement and terminate accounts of repeat infringers according to the process set out in the U.S. Digital Millennium Copyright Act.

If you believe that any material on the Papacitos Platform infringes upon any copyright which you own or control, you may file a DMCA Notice of Alleged Infringement with us by emailing support@papacitosapp.com

Reliance on Information Posted

With respect to the general information presented on or through the Papacitos Platform, it is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Papacitos Platform, or by anyone who
may be informed of any of its contents.

 

 

This Papacitos Platform may include content and products provided by third parties, including materials provided by merchants, providers of goods and services, other users, third-party licensors, manufacturers, retailers and others. We are not responsible, or liable to you or any third party, for the content or accuracy of any materials and listings provided by any third parties.

Changes to the Papacitos Platform

We may update the content on this Papacitos Platform from time to time, but its content is not necessarily complete or up-to-date. Any of the material on the Papacitos Platform may be out of date at any given time, and we are under no obligation to update such material.

Information About you and your Visits to the Papacitos Platform

All information we collect on this Papacitos Platform is subject to our Privacy Policy. By using the Papacitos Platform, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.

Online Interaction Terms and Commercial Conditions

By engaging with other users through the Papacitos Platform and accepting any agreed terms between you and another user, you acknowledge that Papacitos Global is not a party to those agreements and is not responsible for payment, performance, or fulfillment of any commitments made between users. Users are solely responsible for negotiating, agreeing upon, and fulfilling the terms of any arrangements made through the platform, including any applicable costs, reimbursements, or taxes.

 

All descriptions, references, and details of any activities, experiences, or services shared or posted on the Papacitos Platform are provided by users and may be updated, modified, or removed at any time without notice. Papacitos does not warrant the accuracy, completeness, or availability of any listing, and the inclusion of a listing does not constitute an endorsement.

 

From time to time, Papacitos Global may, in its sole discretion, offer platform-related promotions or features (“Promotions”) designed to enhance user engagement. Promotions cannot be applied to prior interactions, have no cash value, are non-transferable, and may be subject to limitations or expiration dates. We reserve the right to modify or withdraw any Promotion at any time without notice.

 

Papacitos Global further reserves the right, with or without notice, to take any of the following actions: (i) limit the number of listings or interactions a user may create; (ii) impose conditions on the use of promotions or special offers; (iii) restrict or suspend a user’s ability to send or receive messages or interaction requests; and (iv) deny platform access to any user for conduct that violates these Terms of Use or that we believe may harm other users or the integrity of the platform.

Payment

Fees

Users purchase auto-renewing subscriptions to access premium features of the Papacitos Platform. Any interactions occur solely between members. Papacitos does not become a party to any relationship or arrangement between members and does not broker or guarantee matches or

outcomes. Papacitos provides access to Platform features only.


Subscriptions are billed in advance and managed through the Apple App Store and the Google Play Store. Prices are displayed in-app and may vary by region and applicable taxes. Subscriptions automatically renew unless canceled. All amounts paid are non-refundable to the fullest extent permitted by law. Nothing in these Terms alters Papacitos’ general “no refunds” policy, except where refunds, charge reversals, or cooling-off rights are expressly required by applicable laws, including U.S. state laws such as those in California and European Union consumer protection regulations where applicable.


Payments are processed by the applicable app store. Papacitos does not process or store your full payment card information. We receive payment records from the app stores for account and compliance purposes.


All purchases for Papacitos services must be completed through the app stores. Off-platform payments are not permitted.


By purchasing a subscription you authorize the applicable app store to charge your stored payment method on a recurring basis until you cancel. You can cancel at any time in your Apple or Google subscription settings, and cancellation must occur at least twenty-four hours before the end of the current billing period to avoid renewal. After cancellation you will retain access to paid features until the end of the current period. No refunds or credits are provided for partial periods or unused services. If a payment fails, Papacitos may suspend or terminate access to paid features until the charge is successful. Prices and fees may change, and any changes will be communicated in accordance with app store procedures..


Payment Processing. We may accept certain kinds of third-party payment providers (i.e., Apple App Store, Google Play Store, Stripe, Apple Pay, Google Pay, or PayPal) and payments made through debit and credit cards. For payments made through the Apple App Store or Google Play Store, billing will be handled directly by the applicable store, and you must comply with its terms and conditions and privacy policy. For payments through other third-party payment providers, you may be directed to their platform to complete your payment, and it is your responsibility to review and understand their terms and conditions and privacy policy.


You acknowledge and agree that the credit or debit card being used is yours or that you have been specifically authorized by the owner of such a card to use it. All card holders are subject to validation and authorization by the issuer of the card. If the issuer of your payment card refuses to authorize payment to us, we will not be liable for any non-delivery or delay of access to the Papacitos Platform or paid features.


All subscription and service purchases are final and non-refundable to the fullest extent permitted by law. We do not provide refunds or credits for partial subscription periods, unused services, or dissatisfaction with the service. Your subscription will remain active until the end of the billing cycle in which you cancel.

Linking to the Papacitos Platform and Social Media Features

You may link to our homepage, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part without our express written consent.

 

This Papacitos Platform may provide certain social media features that enable you to:

  • Link from your own or certain third-party Papacitos Platforms to certain content on this Papacitos Platform.
  • Send emails or other communications with certain content, or links to certain content, on this Papacitos Platform.
  • Cause limited portions of content on this Papacitos Platform to be displayed or appear to be displayed on your own or certain third-party Papacitos Platforms.

 

You may use these features solely as they are provided by us, and solely with respect to the content they are displayed with, and otherwise in accordance with any additional terms and conditions we provide with respect to such features. Subject to the foregoing, you must not:

  • Establish a link from any Papacitos Platform that is not owned by you.
  • Cause the Papacitos Platform or portions of it to be displayed on, or appear to be displayed by, any other site, for example, framing, deep linking, or in-line linking.
  • Link to any part of the Papacitos Platform other than the homepage.
  • Otherwise take any action with respect to the materials on this Papacitos Platform that is inconsistent with any other provision of these Terms of Use.

 

You agree to cooperate with us in causing any unauthorized framing or linking immediately to stop. We reserve the right to withdraw linking permission without notice.

We may disable all or any social media features and any links at any time without notice in our discretion.

Links from the Papacitos Platform

If the Papacitos Platform contains links to other sites and resources provided by third parties, these links are provided for your convenience only. This includes links contained in advertisements, including banner advertisements and sponsored links. We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third-party Papacitos Platforms linked to this Papacitos Platform, you do so entirely at your own risk and subject to the terms and conditions of use for such Papacitos Platforms.

SMS Messaging Communications

SMS messaging may be used for multi-factor authentication for your mobile number using a One-Time PIN (OTP). Only account authentication messages will be sent to you using SMS messaging.

 

You can cancel the SMS service at any time. Just text “STOP” to the short code. After you send the SMS message “STOP” to us, we will send you an SMS message to confirm that SMS messages will no longer be sent. If you want to resume service, reply “START” and we will start sending SMS messages to you again.

 

Message and data rates may apply for any messages sent to you from us and to us from you. you will receive a new multi-factor authentication each time you register a new device or each time you sign in to our service, depending on your settings.

Geographic Restrictions

Papacitos is a global platform that provides services and facilitates transactions forusers across multiple continents, including North America, South America, Europe, Asia, Africa, and Oceania, enabling participants in these regions to access and use our services. While we strive to make the Papacitos Platform accessible internationally, we make no guarantee or representation that the Platform or any of its content is appropriate or legally permitted in every jurisdiction. Access to the Papacitos Platform may be restricted or prohibited by local laws in certain countries or territories. If you access the Papacitos Platform from outside the United States, you do so voluntarily and at your own risk, and you are solely responsible for complying with all applicable regional and national laws. Papacitos complies with the General Data Protection Regulation (GDPR) and other applicable international privacy regulations by obtaining explicit consent for data collection and by providing users with the right to access, modify, or delete their personal data.

Disclosure for Law Enforcement

Under certain circumstances, the Company may be required to disclose its Personal Data if required to do so by law or in response to valid requests by public authorities (e.g. a court or a government agency, the IRS, etc.). This may include account identifiers, transaction records, or communications related to instructor services if relevant to a lawful investigation.

User-Generated Content and Copyright

Papacitos is not liable for content uploaded or shared by users. Any user-uploaded material, including text, images, videos, audio recordings, data files, or other media, is the sole responsibility of the user who submitted it. Users must ensure they have the legal right to share any copyrighted, trademarked, confidential, or otherwise protected content. Papacitos reserves the right to remove or restrict any content that violates intellectual property laws, privacy rights, contractual obligations, or community guidelines.

Community Content and Conduct

Papacitos is not responsible for user-generated content in forums, comments, reviews, posts, private messages, or discussions. Views expressed by users do not represent the opinions or advice of Papacitos. While we strive to maintain a professional and respectful community, users must follow a code of conduct prohibiting offensive, discriminatory, harassing, defamatory, misleading, fraudulent, or inappropriate content. Violations may result in content removal, warnings, temporary or permanent account suspension, or legal action where applicable. Papacitos does not guarantee the accuracy, reliability, or validity of information shared in community discussions. Users should independently verify any information found on the platform before relying on it for personal or professional purposes.

 

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Papacitos immediately of any unauthorized use of your account or any other breach of security. Papacitos is not liable for any loss or damage arising from your failure to comply with this security obligation. In addition to other prohibitions set forth in these Terms of Use, you are prohibited from using the Papacitos Platform or its content for any unlawful purpose, to solicit others to perform or participate in any unlawful acts, to violate any applicable international, federal, provincial, or state regulations, rules, laws, or local ordinances, or to infringe upon or violate our intellectual property rights or the intellectual property rights of others.

Refunds and Dispute Resolution

Papacitos does not provide refunds for services purchased through the platform, whether provided directly by Papacitos or through third-party providers. All transactions for services are considered final unless otherwise agreed upon in writing by the service provider. In certain cases, we may facilitate dispute resolution; however, Papacitos is not responsible for the outcome of any such disputes and has no obligation to intervene. If you believe an issue has occurred with the services you received, you must notify us as soon as you become aware of the matter and in no event later than 30 days after the service is completed by emailing support@papacitosapp.com. While we may review concerns related to platform usage, all project-related disputes must be resolved directly between Customers and service providers.

All payments processed through the Papacitos Platform are handled by third-party payment processors. Papacitos does not store or have access to your complete payment information. By using the Platform, you agree to be bound by the terms and conditions of the applicable payment processor. TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE COMPANY,ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES,AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE PAPACITOS PLATFORM, ANY PAPACITOS PLATFORMS LINKED TO IT, ANY CONTENT ON THE PAPACITOS PLATFORM OR SUCH OTHER PAPACITOS PLATFORMS, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use or your use of the Papacitos Platform, including, but not limited to, your User Contributions, any use of the Papacitos Platform’s content, services, and products other than as expressly authorized in these Terms of Use, or your use of any information obtained from the Papacitos Platform.

Termination of Access

The Company reserves the right, in its sole discretion, to suspend or terminate your access to the Papacitos Platform at any time and for any reason, including but not limited to violations of these Terms of Use, suspected fraudulent activity, or conduct that we believe may harm other users, the Company, or our reputation. Upon termination, your right to use the Papacitos Platform will immediately cease, and you must promptly discontinue all access and use. Any provisions of these Terms of Use which, by their nature, should survive termination will continue in full force and effect, including without limitation provisions regarding ownership, disclaimers, indemnification, and limitations of liability.

Governing Law and Jurisdiction

All matters relating to the Papacitos Platform and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Delaware without giving effect to any choice or conflict of law provision or rule (whether of the State of Delaware or any other jurisdiction).

 

Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the Papacitos Platform shall be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware, in each case located in the state of Maryland, in Montgomery County, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Arbitration

At Company’s sole discretion, it may require you to submit any disputes arising from these Terms of Use or use of the Papacitos Platform, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Delaware law. You and Papacitos agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, collective, or representative action. By agreeing to these Terms, you expressly waive the right to participate in or initiate any class action, class arbitration, private attorney general action, or any other representative proceeding against Papacitos.

Waiver and Severability

No waiver by the Company of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

 

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

Entire Agreement

The Terms of Use, our Privacy Policy and Terms of Sale constitute the sole and entire agreement between you and Papacitos Global regarding the Papacitos Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Papacitos Platform.
